These Terms and Conditions (“Terms”) govern your access to and use of the WOTA Network website, verification tools, wallet-binding tools, receipt workflows, trust-network features, dashboards, APIs, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. What WOTA Network Is

WOTA Network is a software and trust-infrastructure platform designed to support eligibility checks, authorization decisions, receipt generation, verification workflows, and related agentic or wallet-linked trust functions.

The Services may include:

  • wallet binding,
  • verification flows,
  • receipt generation,
  • policy evaluation,
  • authorization workflows,
  • optional verifier or issuer tooling,
  • optional receipt anchoring,
  • optional offline or low-connectivity support,
  • related support and administrative tools.

WOTA Network is a software and infrastructure platform. It is not a bank, wallet custodian, legal adviser, government registry, or universal identity provider.

2. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, to use the Services.

If you use the Services on behalf of a company, organization, verifier, issuer, or application, you represent that you have authority to bind that entity to these Terms.

You are solely responsible for complying with the laws and regulations that apply to your use of the Services.

3. Platform Purpose

WOTA Network is intended to provide technical trust primitives for agentic and wallet-connected applications, including:

  • eligibility checks,
  • authorization decisions,
  • credential-related workflows,
  • event receipts,
  • policy-based access control.

The Services are designed to help applications answer whether a user, wallet, or bound agent is eligible or authorized for a particular action, and to generate records of those decisions.

4. Verification, Eligibility, and Receipts

The Services may allow users or applications to:

  • bind a wallet,
  • submit verification information,
  • use optional third-party verification alternatives,
  • run checks,
  • receive a verification result, receipt, or status record.

A WOTA receipt or result is a technical record of a workflow outcome. Unless expressly stated otherwise in writing, it does not guarantee legal identity, citizenship, residency, regulatory status, or universal third-party acceptance.

5. Wallets and Wallet Binding

Some features require a supported wallet.

You are solely responsible for:

  • choosing and controlling your wallet,
  • safeguarding private keys, seed phrases, passwords, and devices,
  • confirming the correct address and network,
  • understanding that switching wallets may affect access to previous receipts or records,
  • understanding that blockchain transactions may be public, permanent, and irreversible.

We are not responsible for losses caused by compromised wallets, phishing, wrong-address activity, unsupported networks, user error, or third-party wallet failures.

6. Optional Verification Inputs

The Services may permit inputs such as:

  • ID document images,
  • selfie images,
  • wallet-binding signatures,
  • optional third-party verification methods,
  • related receipt or audit data.

You are responsible for ensuring that any information, document, or image you submit is accurate and lawfully provided.

7. Receipts, Policy Decisions, and Audit Records

The Services may generate receipts or records relating to:

  • issue,
  • verify,
  • bind,
  • authorize,
  • allow / deny decisions,
  • policy versions,
  • timestamps,
  • reason codes,
  • related trust-network actions.

These records are operational and evidentiary in nature. They do not by themselves guarantee that any court, regulator, platform, or third party will accept them as legally conclusive proof.

8. Optional Offline or Low-Connectivity Features

Some WOTA Network features may support offline, edge, delayed-sync, or low-connectivity use.

You understand that:

  • some workflows may rely on delayed submission,
  • some results may depend on later synchronization,
  • some services may behave differently depending on network conditions, device environment, or infrastructure availability.

WOTA Network does not guarantee uninterrupted operation in every environment.

9. Token and Network Disclosures

Some features may involve Base, WOTA token usage, smart contracts, staking, reward flows, or receipt anchoring.

You acknowledge that:

  • blockchain activity may be public and permanent,
  • smart contracts and networks may have bugs, congestion, outages, reorgs, or exploits,
  • token functionality may change over time,
  • participation involving tokens, staking, or onchain actions carries technical and economic risk.

Nothing in the Services constitutes investment, legal, tax, or financial advice, or an offer of securities.

10. No Legal, Compliance, or Regulatory Advice

WOTA Network provides technical verification and authorization infrastructure only.

WOTA Network does not provide legal advice, regulatory advice, KYC certification, AML certification, tax advice, or compliance approval. You are solely responsible for determining whether your use of the Services is appropriate for your jurisdiction, workflow, and application.

11. Acceptable Use

You agree not to:

  • submit forged, stolen, or misleading materials,
  • impersonate another person or entity,
  • use the Services for unlawful, harmful, deceptive, or abusive purposes,
  • interfere with platform security, functionality, or availability,
  • scrape, reverse engineer, or exploit the Services except as allowed by law,
  • upload malware or malicious code,
  • use the Services to facilitate unlawful access, unlawful transactions, surveillance abuse, or fraud.

We may investigate suspected misuse and may suspend, restrict, remove, or terminate access where appropriate.

12. User Content

You may submit wallet-binding data, verification materials, support messages, policy inputs, metadata, and related materials (“User Content”).

You retain ownership of your User Content, but you grant WOTA Network a limited, non-exclusive, worldwide license to host, process, store, reproduce, display, and use that content as reasonably necessary to provide, secure, maintain, improve, and support the Services, enforce these Terms, and comply with law.

You represent that you have all rights and permissions necessary to submit User Content.

13. Intellectual Property

The Services, including software, branding, site design, workflows, text, graphics, and related materials, are owned by WOTA Network or its licensors and are protected by law.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes.

14. Third-Party Services

The Services may rely on or link to third-party services such as:

  • wallets,
  • blockchain infrastructure,
  • identity or verification providers,
  • hosting providers,
  • analytics vendors,
  • storage providers,
  • explorer services.

We do not control and are not responsible for third-party uptime, pricing, privacy practices, security, or performance. Your use of third-party services is governed by their own terms and policies.

15. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, quiet enjoyment, and results.

We do not warrant that:

  • every verification will succeed,
  • every wallet interaction will succeed,
  • every receipt will be accepted by a third party,
  • every offline or delayed-sync flow will function in every environment,
  • the Services will always be uninterrupted, secure, or error-free.

16. Limitation of Liability

To the fullest extent permitted by law, WOTA Network and its affiliates, owners, licensors, service providers, and personnel will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, loss of data, loss of goodwill, denied-access claims, wallet losses, receipt disputes, regulatory disputes, or third-party claims arising from or related to the Services.

Our total liability for any claim relating to the Services will not exceed the greater of:

  • the amount you paid us in the 12 months before the event giving rise to the claim, or
  • USD $100.

17. Indemnification

You agree to defend, indemnify, and hold harmless WOTA Network and its affiliates, owners, officers, contractors, licensors, and service providers from and against claims, liabilities, losses, damages, judgments, and expenses arising out of or related to:

  • your use of the Services,
  • your User Content,
  • your verification submissions,
  • your wallet activity,
  • your violation of these Terms,
  • your violation of law or third-party rights.

18. Suspension and Termination

You may stop using the Services at any time.

We may suspend, restrict, or terminate access at any time if we believe you violated these Terms, created legal or security risk, failed to pay required fees, or used the Services in a harmful or unlawful manner.

Sections that by their nature should survive termination will survive.

19. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless applicable law requires otherwise.

20. Dispute Resolution

Before filing a formal claim, you agree to first contact us and attempt to resolve the dispute informally in good faith.

If a dispute cannot be resolved informally, it shall be brought exclusively in the state or federal courts located in Wyoming, unless applicable law requires a different forum.

21. Changes to These Terms

We may update these Terms from time to time. The updated version becomes effective when posted, unless otherwise stated. Your continued use of the Services after revised Terms are posted constitutes acceptance of the updated Terms.
